These Terms of Service ("Terms") govern your access to and use of the website www.proxyudp.com (the "Site"), including any services, features, or content provided thereon (collectively, the "Service"). The Service is operated by ProxyUDP ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. Definitions

  • Buyer: An individual or entity that purchases proxy services through the Site.
  • Provider: A third-party proxy server owner who lists and sells proxy services on the Site.
  • User: Any individual or entity that accesses or uses the Service, including Buyers and Providers.
  • Service: The SOCKS5 (UDP) proxy services, marketplace facilitation, and related features provided via the Site.

2. Acceptance of Terms

By registering an account, purchasing proxy services, listing proxies for sale, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and any additional terms applicable to specific features (e.g., Provider agreements). If you are using the Service on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

3. Services

We provide a platform for Buyers to purchase SOCKS5 (UDP) proxy services and for Providers to list and sell their proxies. The Service is offered on an "as-is" and "as-available" basis. We do not guarantee uninterrupted access, specific speeds, performance levels, or availability. We may modify, suspend, or discontinue any part of the Service at any time without notice or liability.

4. Eligibility

The Service is available to individuals aged 18 or older and to businesses (B2B clients). By using the Service, you represent that you meet these requirements and that your use complies with all applicable laws, including U.S., EU, and Spanish laws.

5. Acceptable Use Policy and Prohibited Conduct

You must use the Service only for lawful purposes. By using the Service, you agree not to engage in, facilitate, or encourage any of the following prohibited activities:

5.1 Illegal Activities

  • Fraud, phishing, hacking, DDoS attacks, malware distribution, or any other criminal offenses.
  • Violations of copyrights, trademarks, or other intellectual property rights, including piracy.
  • Unauthorized access to restricted systems, such as financial institutions or government networks.

5.2 Security Violations

  • Probing, scanning, breaching, or interfering with any system or network without authorization.
  • Forging headers, spoofing IP addresses, or misrepresenting packet origins.

5.3 Network Abuse

  • Sending spam, unsolicited mass messages, or engaging in mail bombing or broadcast attacks.
  • Causing network floods, disruptions, or overloads.

5.4 Malicious Content

  • Transmitting viruses, worms, trojans, spyware, or other harmful code.
  • Distributing obscene, hateful, defamatory, harassing, or violently threatening content.

5.5 Child Safety

  • Any content or activities involving the exploitation, harm, or sexualization of minors.

5.6 Evasion of Restrictions

  • Using proxies to bypass third-party usage limits, geographic restrictions, or content filters.

Violations of this policy may result in immediate suspension or termination of your account without refund. We reserve the right to report violations to relevant authorities.

6. Third-Party Proxy Providers

The Site acts as a marketplace where Providers can list and sell their proxy services to Buyers. Providers are independent third-party service providers and are not employees, agents, or affiliates of ProxyUDP.

  • Provider Responsibilities: Providers must ensure that their proxies are reliable, perform as described, and comply with all applicable laws and these Terms. Providers are solely responsible for handling support, disputes, and any issues related to their proxies.
  • Platform Role: ProxyUDP facilitates transactions but is not a party to any agreement between Providers and Buyers. We do not guarantee the quality, legality, or performance of any third-party proxies.
  • Liability Disclaimer for Providers: Providers are not responsible for any violations of law or these Terms committed by Buyers using their proxies, unless the Provider has knowingly encouraged, facilitated, or participated in such violations.
  • Platform Disclaimer: ProxyUDP is not liable for any claims, damages, or losses arising from Providers' proxies, Buyer-Provider transactions, or Buyer misuse of proxies.
  • Indemnification by Providers: Providers agree to indemnify, defend, and hold harmless ProxyUDP and its affiliates from any claims, damages, expenses, or liabilities (including attorneys' fees) arising from their proxies, listings, or breaches of these Terms.
  • Transaction Fees: Providers may be subject to platform fees for sales, as specified in separate Provider agreements or on the Site.
  • Dispute Resolution: Disputes between Buyers and Providers must be resolved directly between them. ProxyUDP may, at its discretion, assist in mediation but is not obligated to do so.

7. Monitoring and Enforcement

We do not proactively monitor User activity but may investigate upon receiving complaints or notices of violations. In response, we may:

  • Suspend or terminate your account without notice or refund.
  • Disclose information, including logs, to authorities if required by law.
  • Take any other action deemed necessary to protect the Service or comply with legal obligations.

8. Fees, Payments, and Refunds

Payments are accepted in EUR, USD, and select cryptocurrencies. All purchases and sales are final, with no refunds, including partial or pro-rated refunds. Chargebacks or disputes may result in account termination. Payments for Providers are processed after deducting applicable fees, subject to our payout policies.

9. Log Collection and Data Protection

We collect minimal logs for security and operational purposes, including:

  • Client IP address.
  • Timestamp.
  • Destination IP.

Logs are retained for up to 30 days and then deleted or anonymized, unless longer retention is legally required. We comply with GDPR and other data protection laws. You may exercise your rights (e.g., access, rectification, erasure) by contacting support@proxyudp.com.

10. Legal Compliance

We will respond to valid legal requests, subpoenas, or court orders from U.S., EU, or Spanish authorities. Users must ensure their activities comply with all relevant laws.

11. Indemnification

You (including Buyers and Providers) agree to indemnify, defend, and hold harmless ProxyUDP, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising from your use or misuse of the Service, violation of these Terms, or infringement of third-party rights.

12. Disclaimer and Limitation of Liability

The Service is provided "as-is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. ProxyUDP is not liable for any indirect, incidental, consequential, special, or punitive damages. Our total liability is limited to the lesser of (a) the fees you paid in the last six months or (b) €500.

13. Intellectual Property

All content, trademarks, software, and materials on the Site are owned by ProxyUDP or its licensors. No rights are granted except for limited use as permitted herein. You may not copy, modify, or distribute any materials without our written consent.

14. Modifications to Terms

We may update these Terms at any time. Changes will be posted on the Site and, where feasible, notified via email. Continued use after changes constitutes acceptance.

15. Account Responsibility

You are responsible for all activity under your account, including maintaining the security of your credentials. Notify us immediately of any unauthorized access. Resale or sharing of proxies is permitted, but you remain fully liable for any misuse.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Spain, the European Union, and the United States, without regard to conflict of laws principles. Any disputes will be resolved through binding arbitration under UNCITRAL rules in Madrid, Spain (for EU matters) or a mutually agreed U.S. venue (for U.S. matters). You waive any right to class actions.

17. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

18. Force Majeure

We are not liable for delays or failures due to events beyond our control, such as natural disasters, wars, or pandemics.
